How to open a company in Saudi Arabia

A Saudi company-formation project should be treated as a sequence: define the activity and ownership, satisfy the foreign-investment route where applicable, establish the entity, obtain the commercial registration and complete operational registrations.

1. Define the activity and ownership.

Start with what the company will sell or do in Saudi Arabia, who will own it, and whether a regulator controls the activity.

2. Complete the foreign-investment requirement.

Saudi Arabia’s Investment Law requires foreign investors to register with the Ministry of Investment before engaging in investment, subject to the implementing rules.

3. Establish the company.

The Ministry of Commerce provides company establishment through the Saudi Business Center. The service captures partners, company data, management, commercial-registration information and constitutional documents.

4. Complete post-establishment registrations.

Formation is not the same as being operational. Depending on the business, post-establishment work can include tax, labour, social insurance, national address, bank, municipal or sector licensing.
